The Michigan Annual Report is an annual filing with the State of Michigan that reflects and keeps current the registered agent and registered agent address of the business. The annual filing fee for timely filed reports are $25/year. All corporations (domestic/foreign/non-profit) & limited liability companies are required to file the MAR.
HOW TO FILE
To file your MAR online, go to Corporations Division Online Filing Portal.
You will need your CID & PIN number for the business. If you do not have this information, you can visit the CID/PIN Recovery Page to obtain that information.
Your Entity ID can be found by searching here: What is my entity ID? Type in the name of your business, and your entity ID will be listed under "ID Number."
Domestic Corporations (including Non-Profit Corporations)
DUE DATE: May 15 of each year
Failure to file an annual or pay the annual filing fee (including any applicable penalties) for a period of two (2) years from the date on which the annual report/filing fee (including any applicable penalties) was due, will automatically dissolve the corporation 60 days after the expiration of the two (2) year period.
Foreign Corporations (including Non-Profit Corporations)
DUE DATE: May 15 of each year
Failure to file an annual report or pay the annual filing fee (including any applicable penalties) for a period of one (1) years from the date on which the annual report/filing fee (including any applicable penalties) was due, will automatically dissolve the corporation 60 days after the expiration of the one (1) year period.
Limited Liability Companies
DUE DATE: February 15 of each year
Failure to file an annual report or pay the annual filing fee for a period of two (2) years from the date on which the annual report/filing fee was due, the limited liability company will no longer be in good standing, and the name becomes available to any other corporation, limited partnership or other limited liabilty company.
